Investors may seek the limited liability protection afforded by incorporating an entity for the purpose of holding and shielding real property.  But be careful.  Corporate shareholders face the dreaded double corporate tax upon the sale of appreciated corporate assets.  The corporation is taxed on the gain from the disposition of appreciated assets and then the shareholders are taxed again when the corporation distributes the proceeds, either as a dividend or in a liquidation distribution.  Merely converting the C-Corporation to an S-Corporation will not help with built-in gain at the time of conversion.  Furthermore, limitations inherent in the taxation of corporations means that corporations are a less than ideal asset protection vehicle to shelter and manage your Real Estate Investments.
